Terms of Service (TOS)

Company: Pipingly LLC, DBA Pip Coders (“Pip Coders,” “we,” “our,” “us”)
By engaging our services, requesting an invoice, or submitting payment, you (“Client,” “you,” or “your”) agree to the following Terms of Service.
 

1. Services

Pip Coders provides software development, design, and related professional services as agreed in writing or electronically with each Client. Deliverables and timelines will be confirmed before work begins.

2. Payment Terms

  • Invoices are due upon receipt unless otherwise specified in writing.

  • Late Payments may incur a service charge of 1.5% per month, or the maximum rate permitted by applicable law.

  • Pip Coders reserves the right to pause or terminate services if invoices remain unpaid beyond 15 days.

3. Refunds & Disputes

  • All services rendered are non-refundable once delivered, unless otherwise agreed in writing.

  • Clients must raise any invoice disputes or concerns in writing within 7 calendar days of the invoice date.

  • If no dispute is raised within that period, the invoice will be considered accepted in full.

4. Scope of Work

Work is billed according to the scope outlined in proposals, statements of work, or other written agreements. Any requests outside of the agreed scope may be billed separately at Pip Coders’ standard hourly or project rates.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and timely information necessary for the completion of services.

  • Respond to requests for feedback, approvals, and materials within a reasonable timeframe.

  • Ensure they have the legal right to any materials (e.g., images, text, data) supplied to Pip Coders for use in projects.

6. Limitation of Liability

To the maximum extent permitted by law:

  • Pip Coders is not liable for indirect, incidental, or consequential damages, including lost profits or data, arising from the use of delivered work.

  • Liability for direct damages is limited to the total amount paid by the Client for the specific services giving rise to the claim.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This obligation survives termination of services.

8. Intellectual Property

  • Upon full payment, Pip Coders grants the Client ownership rights to the final deliverables, unless otherwise agreed in writing.

  • Pip Coders retains the right to showcase non-confidential deliverables in portfolios, case studies, or marketing materials.

9. Termination

Either party may terminate the working relationship with written notice. The Client is responsible for payment of all services rendered up to the date of termination.

10. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law provisions. Any disputes will be resolved in the courts located in Maryland.

11. Amendments

Pip Coders reserves the right to update these Terms at any time. Clients will be notified of significant changes in writing or via our website.
